Shareholder Loans

Shareholder loans are often selected as equity related financing frequently in combination with debt financing. We advise our clients on the legal specialties and develop – often together with our client’s experts – the optimal structure. Our fair contract drafting takes reasonable account of the interests of both the company and the shareholder. Naturally, we keep possible provisions on shareholder loans in the other financing agreements of our client in view.

The same applies to intercompany or Up-stream Loans, often in the area of Cash-Management. We frequently advise managements prior to such disbursements and apply the necessary care in complying with legal provisions, in particular capital maintenance law.
